TERMS OF ENGAGEMENT

Types of engagement

Masonry Marketing can be engaged in three different ways:

Retained services

A monthly retainer model that ensures predictable costs and consistent delivery across an agreed scope of work.

Project services

For specific projects or campaigns, this work is scoped and agreed upfront, with milestone payments rather than monthly invoices.

On-demand services

As required services outside of retained or project work. These are flexible, request-based and fixed hourly rates. On-demand services layer on top of project and retained work, and are scoped and quoted upfront for visibility and approval.

Work will be scoped and agreed before commencement

Each engagement will be defined in a proposal or written agreement outlining:

  • Scope of services

  • Deliverables

  • Timeframes

  • Fees and payment terms

Changes and additional work

Where scope changes or additional work is requested, Masonry Marketing will advise on the impact to cost and timing. Work will not proceed outside scope without written client approval.

Variations may be billed at the standard hourly rate or quoted separately.

Retained services

Retainer engagements provide ongoing access to Masonry Marketing’s services for an agreed number of hours or defined scope each month. Retainers are designed to support consistent progress and provide clients with priority access to strategic and implementation support.

Details of each retainer, including scope and monthly allocation, will be outlined in the proposal or agreement. Each retainer will specify:

  • Monthly hours or scope of work

  • Types of services included

  • Communication and meeting cadence

Work outside of these inclusions may be billed separately at the standard hourly rate unless otherwise agreed.

Monthly fees and invoicing

  • Retainers are billed monthly in advance.

  • Payment is required prior to the commencement of each service period.

  • Work may be paused if payment is not received on time.

Hour allocation and usage

Where retainers are based on a monthly hour allocation:

  • Hours are to be used within the relevant monthly period.

  • Unused hours do not automatically roll over unless explicitly agreed.

  • Additional hours beyond the allocation will be billed at the standard hourly rate.

Masonry Marketing will make reasonable efforts to track and communicate usage throughout the month.

Scope management

Retainers are intended for ongoing, planned work rather than large one-off projects. Where work exceeds the intended scope or complexity, a separate project scope and fee may be proposed. Alternatively, the retainer may be adjusted by agreement.

Rollover

At Masonry Marketing’s discretion, a limited number of unused hours may roll over to the following month. Any rollover:

  • Must be used within the next billing period.

  • Will not accumulate beyond one month.

  • May be forfeited if not used.

Rate protection

Retainer clients may receive rate stability for the duration of their agreement.

Any changes to standard pricing will not apply until the end of the agreed retainer term unless otherwise specified.

Project services

Project-based engagements are defined pieces of work with a clear scope, deliverables, and timeframe. Each project will be outlined in a proposal or agreement prior to commencement. All project work includes a clearly defined scope outlining deliverables, inclusions, exclusions, timeframes and milestones.

Work is limited to what is explicitly included in the agreed scope. Any additional requests will be treated as a variation.

Timeframes and scheduling

Project timelines are indicative and depend on:

  • Timely client feedback and approvals.

  • Access to required information and systems.

  • Scope remaining consistent.

Delays in client input may result in adjusted timelines.

Completion and sign-off

A project is considered complete when agreed deliverables have been provided, and any included revisions have been addressed.

Final sign-off may be requested to confirm completion.

Pauses and delays

If a work is paused due to client delays, Masonry Marketing may reschedule remaining work based on availability.

Extended delays (e.g. beyond 30 days) may require re-scoping or re-quoting

Transition to ongoing support

Where appropriate, project-based work may transition into an ongoing engagement. This may include implementation support, ongoing consulting, and retainer-based services. 

Any ongoing work will be scoped and agreed separately.

Payment terms

  • Invoices are issued in accordance with the agreed engagement structure.

  • Standard payment terms: 14 days from invoice date.

  • Retainers are typically invoiced in advance on a monthly basis.

  • Project-based work is typically invoiced at the commencement of a milestone.

  • On-demand service work is typically invoiced at the end of the month.

  • Late payments may result in a pause of work until payment is received.

Client responsibilities

To ensure effective delivery, clients agree to:

  • Provide timely access to information, materials, systems, and stakeholders.

  • Review and provide consolidated feedback within agreed timeframes.

  • Ensure key decision-makers are available when required.

  • Ensure decision-makers are available when needed.

Delays in client input may impact timelines and delivery.

Communication and availability

  • Communication methods and frequency, including project governance meetings, will be agreed at the start of the engagement.

  • Masonry Marketing operates during standard business hours.

  • Response times will be reasonable but not immediate unless otherwise agreed.

Intellectual property

  • Upon full payment, clients retain ownership of final deliverables created specifically for them.

  • Masonry Marketing retains ownership of underlying frameworks, templates, and methodologies.

  • Masonry Marketing may reference completed work in a portfolio (including business cases, client examples, etc.) unless otherwise agreed.

Confidentiality

All client information will be treated as confidential and will not be disclosed to third parties without consent, unless required by law, and in accordance with our Privacy Policy.

Termination

  • Either party may terminate an engagement with written notice. Notice periods for retainers will be 14–30 days.

  • Work completed up to the termination date will be invoiced.

  • Any prepaid work not yet delivered will be handled in good faith.

  • Any non-refundable deposits or upfront payments will be retained.

Liability

  • Masonry Marketing will provide services with due care and skill. However:

  • No guarantees are made regarding specific business outcomes.

  • Masonry Marketing is not liable for indirect or consequential losses.

  • Liability is limited to the value of services provided.

Independent supplier

Masonry Marketing operates as an independent supplier. Nothing in this agreement creates an employment, partnership, or joint venture relationship.

Acceptance

Engagement with Masonry Marketing, including acceptance of a proposal or commencement of work, constitutes acceptance of these Terms of Engagement.
